Anthropic files its S-1 for an IPO, set to list on Nasdaq as ANT
The company behind Claude officially heads to the stock market with 16.3 billion dollars in first-half revenue.
Anthropic, the company behind Claude, filed its S-1 with the US Securities and Exchange Commission on October 26, 2026. This is the first formal step toward an initial public offering. The company will list on the Nasdaq under the ticker symbol "ANT".
What was filed
In its own announcement, Anthropic confirmed it filed a Form S-1 for its Class A common stock. The number of shares and the price range are still undetermined, so no exact listing date can be announced yet.
Goldman Sachs and Morgan Stanley lead the underwriting group. Quartz reports 22 banks are named in the filing.
The numbers, in public for the first time
This S-1 is the first time outsiders can read Anthropic's finances in detail. Revenue for the first six months of 2026 was 16.3 billion dollars, up from about 1.2 billion dollars in the same period a year earlier. For all of 2025, revenue was 4.6 billion dollars.
Operating loss narrowed to 693 million dollars, down from 2.1 billion a year earlier. Anthropic also reported adjusted operating income of 1.6 billion dollars after excluding certain noncash items.
An 80.7 billion dollar net loss, mostly on paper
The net loss for the six months was 80.7 billion dollars. That figure looks alarming, but according to the S-1 itself, 72.4 billion dollars of it comes from changes in the fair value of convertible notes and similar instruments. This is noncash accounting: the notes gained value because the company's valuation rose, not because money was spent.
Silicon AI News calls it a paper loss, since most of the amount involves no cash leaving the company.
Who holds power after the listing
Anthropic's control structure does not change after listing. A single Class F share, held by an entity tied to the seven co-founders, carries 50.1% of voting power. The founders keep control even after the public buys shares. The Long-Term Benefit Trust also appoints most of the board.
Anthropic remains a public benefit corporation, a company required to weigh its mission alongside profit.
Customers and risks
The S-1 discloses that more than 11,900 customers paid Anthropic at least 100,000 dollars over twelve months as of September 30, 2026. More than 1,900 paid 1 million dollars or more, and about 250 paid 10 million dollars or more.
The filing also lists risks. Among them, the company received a civil investigative demand from the FTC in October covering consumer protection, data protection and privacy practices, as Quartz reports.
When shares go on sale
Quartz, citing Bloomberg, reports that Anthropic plans to start pitching the offering to investors as soon as the week beginning November 9. That report also says the IPO could equal or exceed the amount SpaceX raised in its record listing, 85.7 billion dollars. Again, these figures rest on unnamed sources, not official numbers.
What it means for you
This is shaping up to be one of the largest tech IPOs ever, and it marks a new era for the AI industry: AI companies are now valued and scrutinized like ordinary public companies, with open numbers and quarterly pressure.
- The numbers go public. Once listed, Anthropic reports revenue and losses every quarter. You can judge the health of the AI industry yourself instead of relying on rumors.
- Do not be fooled by the big loss figure. The 80.7 billion dollar number is mostly noncash accounting. The real operating loss is far smaller, at 693 million dollars.
- Control stays with the founders. Buying ANT means investing in a company where the founders hold 50.1% of votes. Your power as a small shareholder is limited.
- Be careful with financial content. For retail investors, wait for the final prospectus before deciding. Valuation figures circulating in the media still rest on unnamed sources.
- An IPO filing is not a share price. The final price is set only closer to the listing date.
